Continuing Disclosure
The Securities and Exchange Commission requires certain disclosures from entities that have issued debt in the open market. The requirements are set forth under SEC Rule 15c2-12 and include annual financial filing of audited financial statements, material event notices, failure to file notices, and other relevant bond disclosures. The city is in compliance with all of the required disclosures.
The city provides continuing disclosures through the Municipal Securities Rulemaking Board Electronic Municipal Market Access (EMMA). A bond holder or investor can review the city’s filings at the EMMA website.
Publicly Traded Outstanding Bonds
The city has three outstanding bonds that are publicly traded. These can be found on the EMMA website:
- Library General Obligation Bonds, Series 2001
- Water System Revenue Refunding Bonds, Series 2006
- Full Faith and Credit Bonds (Sewer), Series 2011
The city has jointly issued a debt with the City of Boardman and Metro. The collective financing agreements refunded an Oregon Economic and Community Development Department (OECDD) bond in which all three borrowers were participants. This debt is not listed under the City of Wilsonville’s name but is part of the Oregon state local governments (CUSIP 68608D).
